Terms of service
Article 1 – General provisions
The terms and conditions set forth below, also referred to as the “General Terms and Conditions of Sale”, form an integral part of the agreements entered into between the Seller, Just in Time Srls, and the Purchaser for the supply of the Seller’s products (also referred to as the “Products”). Even where amendments or exceptions have been agreed upon in writing, these General Terms and Conditions of Sale shall continue to apply to all matters not expressly amended or excluded.
Article 2 – Personal data
When placing an order, the Purchaser undertakes to provide their personal and/or business information accurately and truthfully. The Purchaser also undertakes to verify that the information provided is correctly stated in the documentation issued by the Seller.
Article 3 – Offer and conclusion of the contract
Unless otherwise expressly stated, offers issued by the Seller shall remain valid for 14 days from the date of issue. The sales contract shall be deemed concluded upon the Purchaser’s signing of the offer prepared by the Seller or upon payment, even partial, for the Products. The signing of the offer or the payment, even partial, for the Products constitutes the Purchaser’s express acceptance of these General Terms and Conditions of Sale. Following acceptance of the sales offer or payment of a deposit for the Products, no reductions, modifications or changes to the selected Products will be accepted.
Article 4 – Right of withdrawal
Where the Purchaser qualifies as a “Consumer” as defined by Article 3 of the Italian Consumer Code, the provisions applicable to Consumers shall apply, including the rights set forth under Articles 52 et seq. of the Italian Consumer Code. Accordingly, the Consumer has the right to withdraw from the purchase contract for any reason, without penalty and without having to provide a reason, by expressly notifying the Seller of their decision to withdraw within 14 days from delivery of the goods. The withdrawal notice must be sent by registered letter. Pursuant to Article 59, letter c), of the Italian Consumer Code, the right of withdrawal does not apply to Products that are personalized and/or manufactured or configured according to the Customer’s specific requirements.
The Products must be returned at the Purchaser’s expense and responsibility. The Products must be properly packaged and returned in the same condition in which they were received. The Seller reserves the right to reject any returned Product that has not been properly packaged or that is returned using methods other than those specified above.
Article 5 – Prices
Unless otherwise indicated, Product prices include VAT and apply to purchases made online. Prices and promotions displayed on the website may change without prior notice. Any such changes shall not affect orders that have already been duly concluded.
Article 6 – Payment
We exclusively use secure online payment systems designed to provide a high level of protection for browsing and sensitive data. All personal information is transmitted through secure servers using SSL (Secure Sockets Layer) encryption technology to protect data. The following payment methods are accepted:
i) PayPal, through PayPal’s secure payment server.
ii) Credit or prepaid card, through Stripe’s secure payment server.
iii) Apple Pay and Google Pay, directly from the Customer’s smartphone.
iv) Bank transfer. The relevant bank details will be sent automatically by email following confirmation of the order. (Selecting bank transfer as the payment method may affect delivery times, which may be postponed by several days depending on the processing times of the Customer’s bank. The order will be processed only after the payment has been successfully received. The order will be automatically cancelled if payment has not been received within 7 days from the date of purchase).
v) Instalment payments, through the following services:
- PayPal: “Pay in 3” and “Pay in 6, 12 or 24 instalments”, allowing purchases to be paid in instalments from €30 to €2,000 or from €120 to €5,000.
- Klarna: “Pay in 3 instalments”, allowing purchases from €35 to €3,000 to be paid in instalments.
For customers with an established commercial relationship with the Seller, other payment terms may be agreed upon. All orders are subject to acceptance by Just in Time Srls.
Article 7 – Pre-Orders
Pre-orders are subject to the same terms and conditions applicable to regular orders. For transparency purposes, the website expressly indicates when a Product will become available at a date later than the order date.
Where an order includes both Products available for immediate delivery and Products available on pre-order, the shipment will be made in a single delivery if the expected waiting time for the pre-order Products is less than 30 (thirty) days from the date of the order. If the expected waiting time exceeds 30 (thirty) days, the Seller reserves the right to make the shipment in two separate deliveries, at no additional cost to the Customer.
Article 8 – Deposit for pre-orders
For Products available on a pre-order basis, the Purchaser may reserve a unit by paying a deposit equal to 30% of the total order value. The deposit confirms the reservation and allows the Seller to begin processing the order and, where applicable, the relevant production or procurement activities.
The remaining 70% balance shall be paid according to the methods communicated by the Seller, generally prior to shipment or upon shipment of the Product.
Article 9 – Order cancellation
Any request to cancel an order before shipment may be accepted by the Seller at its sole discretion, depending on the status of the order. Where Products are already in production or have been manufactured, configured or otherwise prepared specifically at the Customer’s request, the order may not be cancelled.
For Consumers, Legislative Decree No. 206/2005 (the Italian Consumer Code) shall apply. The right of withdrawal may be exercised within 14 days from delivery of the Product. In the event of a valid exercise of the right of withdrawal, all payments made, including any deposit paid, shall be refunded. In the event of a breach attributable to the Customer, the Seller shall be entitled to retain any amounts already paid and/or seek compensation for any additional loss suffered, to the extent permitted by applicable law. A contractual breach includes any conduct by the Purchaser that violates the obligations arising from the contract, including, by way of example:
- failure to pay the outstanding balance;
- unjustified refusal to accept delivery;
- cancellation of an order for Products that have been personalized or are already in production;
- any other conduct preventing the proper performance of the contract.
For Purchasers acting in the course of their professional or business activities, any amounts paid as a deposit shall constitute earnest money (caparra confirmatoria) pursuant to Article 1385 of the Italian Civil Code. In the event of total or partial cancellation of the order by the Purchaser, the entire order shall be deemed terminated due to circumstances attributable to the Purchaser, and the Seller shall be entitled to retain the deposit paid, without prejudice to the right to claim compensation for any additional loss suffered.
By paying the deposit, the Purchaser declares that they have read and accepted these terms concerning pre-orders, earnest money and the consequences of contractual breach.
Article 10 – Shipment and delivery of products
Unless otherwise specified, “shipping costs” refer to standard kerbside delivery. The following are not included in standard shipping costs and shall be considered “special services”: delivery to an upper floor, handling services, scheduled delivery, delivery using a tail lift, delivery within historic city centres or remote/difficult-to-access areas, and any other special requirement. Unless expressly agreed otherwise in a specific written agreement signed prior to the issuance of the quotation, delivery times are always indicative and shall not be considered binding.
If the Products cannot be collected or delivered for reasons attributable to the Purchaser, the Purchaser shall be responsible for payment of the value of the supply as well as the relevant handling and management costs. If the Products are subsequently returned to the Seller, any refund shall be made net of the shipping costs incurred for the original delivery, return shipping costs, handling and management costs, and any reduction in the value of the Products.
Unless otherwise agreed in writing between the parties, any shipment subsequent to the initial delivery requested by the Customer shall be considered an additional service and shall be charged to the Customer, including the relevant transportation, logistics, packaging and handling costs.
For the procedures, terms and conditions applicable to shipments, please refer to the Shipping Policy available on the website, which forms an integral part of these General Terms and Conditions of Sale.
Article 11 – Duty to inspect, acceptance of products and complaints
Upon delivery of the Products, the Purchaser shall immediately:
i) verify the quantity of the Products and the condition of the packaging;
ii) check that the Products conform to the order confirmation;
iii) record any objections on the delivery note by clearly stating “accepted subject to inspection” and specifying in detail any damage or defect identified. In the event of a claim concerning defects, the Purchaser must provide detailed written notice within 3 (three) business days from receipt of the Products. Telephone complaints or notifications shall not be accepted. Any Product for which no complaint has been submitted in accordance with the procedures and within the deadlines specified above shall be deemed inspected, approved and accepted by the Purchaser.
Article 12 – Returns and replacements
Products returned or submitted for replacement must be unused, intact, free from defects and returned in their original packaging, which must be fully intact and complete with all components originally supplied, including, by way of example, screws, components, accessories and any other parts or equipment provided upon delivery.
Packaging and transportation costs relating to the return of Products shall be borne entirely by the Purchaser, unless otherwise provided by applicable law.
For the procedures, terms and conditions applicable to returns and replacements, please refer to the Returns and Refunds Policy available on the website, which forms an integral part of these General Terms and Conditions of Sale.
Article 13 – Support and design services
The Customer acknowledges that design, technical consultancy, space planning, solution development and product selection based on the specific requirements indicated by the Customer constitute an integral part of the services provided.
These activities have a total value of €1,000.00 including VAT, which shall be fully credited and deducted from the value of the supply if the Customer proceeds with confirmation of the order.
If the purchase is not finalized or the project is cancelled for reasons not attributable to the Seller, this amount shall be retained as consideration for the design, consultancy and development activities already performed.
Acceptance of the proposed project or configuration, including acceptance by email, messaging services or other equivalent means, constitutes confirmation of the order and conclusion of the agreement between the parties.
In the event of total or partial cancellation of the order by the Customer following its acceptance, the Seller shall be entitled to reimbursement of the activities already performed, costs incurred, materials purchased, Products already manufactured or ordered, and any other expenses directly related to the implementation of the project.
The Customer acknowledges that the development of the project takes place in successive stages and that each approved stage involves technical, organizational, production and logistical activities that may result in commitments that cannot be reversed by the Seller. Approval of each stage constitutes acceptance of the activities carried out up to that point and of any related costs incurred.
Article 14 – Installation and assembly
The assembly, installation and fitting of the Products shall be the sole responsibility of the Purchaser. For these activities, the Purchaser shall refer to the technical instructions provided by the Seller for the relevant Product, as indicated under the heading “Product Instructions”. Certain Products supplied by the Seller require fixing to the floor or wall using suitable equipment before use.
The Purchaser shall be responsible for ensuring, using appropriate equipment and methods, that the Products are properly secured to the floor or wall, taking into account the type of surface or structure to which the Products are to be anchored. The Purchaser may nevertheless request an installation service from the Seller, subject to the terms and conditions specified by the Seller.
Article 15 – Flooring installation
Unless expressly requested and included in the quotation issued by the Seller, the installation of flooring shall be the sole responsibility of the Purchaser. Any request for flooring installation by personnel appointed by the Seller must be submitted at least 15 days prior to the scheduled delivery date and shall be subject to a separate charge. The wording “Flooring Installation” included in quotations issued by the Seller does not include handling services.
Article 16 – Warranty
Ironside Armour structures are manufactured by highly specialized and qualified personnel and designed to ensure high standards of strength and durability, provided that they are used in accordance with the technical specifications and instructions provided by the Seller. The Seller warrants that the Products conform to the declared technical specifications and are free from manufacturing defects at the time of delivery. This warranty does not apply where any defects or abnormalities result from improper use or use contrary to the instructions, incorrect installation, ordinary wear and tear, insufficient or improper maintenance, or modifications or interventions not authorized by the Seller.
Unless otherwise expressly stated in writing, the warranty shall remain valid for 24 (twenty-four) months from the date of delivery of the Product.
Article 17 – Retention of title and contractual penalty
By approving and accepting these General Terms and Conditions of Sale, the Customer expressly acknowledges that Just in Time Srls retains title to the Products sold. Accordingly, ownership of the Products shall transfer to the Customer only upon full and actual payment of the relevant purchase price. In the event of default by the Customer, Just in Time Srls shall nevertheless be entitled to retain, by way of a contractual penalty, any amount already paid by the Customer for any reason whatsoever, in addition to requiring the return of the Products covered by the sale, of which Just in Time Srls remains the owner pursuant to the retention-of-title arrangement.
Article 18 – Governing law and jurisdiction
These General Terms and Conditions of Sale shall be governed by Italian law. Any dispute arising between the parties in connection with the interpretation, validity, effectiveness, performance, termination or expiration of these General Terms and Conditions of Sale shall be subject to the exclusive jurisdiction of the Court of Avellino, without prejudice to any mandatory provisions of law. Where the Purchaser qualifies as a “Consumer”, jurisdiction shall lie with the court of the place where the Customer resides or is domiciled, provided that such place is located within Italy, pursuant to Article 66-bis of the Italian Consumer Code.
Article 19 – Processing of personal data
The processing of users’ personal data shall be carried out in compliance with the provisions of Italian Legislative Decree No. 196/2003, as subsequently amended and supplemented, as further specified in the Privacy Policy available in the relevant section of the website.
